Terms of Service

These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent) and Klavex ("we", "us") governing your use of the Klavex service, including our website, dashboard, and command-line interface (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. The Service

Klavex is a secrets-management tool that stores your environment variables in an encrypted vault and injects them into processes at runtime via our CLI. We may add, change, or remove features over time.

2. Accounts & eligibility

You must provide accurate information, keep your credentials secure, and be at least 16 years old (or the age of digital consent in your country). You are responsible for all activity under your account and for the actions of members you invite to your team.

3. Acceptable use

You agree not to:

Use the Service to store data you have no right to store, or to violate any law or third-party right.
Attempt to breach, probe, or circumvent the security of the Service except through a sanctioned vulnerability-disclosure process.
Interfere with or disrupt the integrity or performance of the Service.
Resell or provide the Service to third parties except as expressly permitted.

4. Your content

You retain all rights to the secrets, names, and other data you store ("Your Content"). You grant us a limited license to host, process, and transmit Your Content solely to operate and secure the Service for you. You are solely responsible for the legality of Your Content and for maintaining your own backups of any critical secrets.

5. Plans, billing & renewals

Paid plans are billed in advance through our payment processor, Stripe, on the cycle shown at checkout (monthly or annual).
Subscriptions renew automatically until cancelled. You can cancel at any time from the billing settings; cancellation takes effect at the end of the current paid period.
Except where required by law, payments are non-refundable. Fees are exclusive of taxes, which you are responsible for.
We may change pricing with reasonable advance notice; changes apply to your next renewal.

6. Free plan

We may offer a free tier. We may modify or discontinue free features at any time. Free accounts may be subject to usage limits.

7. Suspension & termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to us or others. Upon termination, your right to use the Service ends and we may delete your data as described in our Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PERFECTLY SECURE. You remain responsible for maintaining independent backups of critical secrets.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KLAVEX WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify and hold Klavex harmless from claims arising out of Your Content or your breach of these Terms, to the extent permitted by law.

11. Changes to these Terms

We may update these Terms from time to time. When changes are material, we will update the "Last updated" date and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. The courts located in New York, New York will have exclusive jurisdiction over any dispute, except where prohibited by applicable law.
